At the discretion of Agents@Work Inc. , this proposal may be amended after contractual agreement between (Client Company) and Agents@Work Inc. In the case that SEO is a part of the Services, the Company is unable to guarantee a precise position within a given search engine. The SEO procedure responds to changes in the search engines' own performance criteria, over which the company has no control. The company cannot promise that any acquired rankings will persist for any length of time or will remain consistent for each search conducted due to the intense competition and ongoing changes to the search engines. Search engine placement and admittance can take more than sixteen (16) weeks. Payment (Client Company) agrees to submit the initial payment upon the signing of this proposal. Once Agents@Work Inc.  provides the deliverables, a new contract will be drafted with an implementation time-frame and detailed payment terms.  Warranty Agents@Work Inc. warrants that all work will be performed in a professional manner and will not be plagiarised or in violation of any copyright or infringement laws. Termination Should either Agents@Work Inc. or (Client Company) elect to terminate this contract, Agents@Work Inc. reserves the right to collect payment for services provided and will allow (Client Company) thirty (30) days to submit payment in the amount disclosed on a final invoice that will be provided to (Client Company) by Agents@Work Inc. within fifteen (15) days of contract termination.


By signing below, (Client Company) agrees to the terms of this proposal and enters into a contractual agreement with Agents@Work Inc., beginning on the date of signing.

1-Schedule The Client will have 5 business days to review and approve each step. At the end of said time, if no answer has been given, the work will be considered approved, and the Web Designer will continue their work. 2-Confidentiality   All terms and conditions of this Agreement and any confidential information must be kept confidential, unless the disclosure is required pursuant to process of law. Disclosing or using this information for any purpose beyond the scope of this Agreement, or beyond the exceptions set forth above, is expressly forbidden without the prior consent of the Parties. The Parties agree that the confidentiality clause in this Agreement will remain active and in power even upon the termination of this Agreement. 3-Termination of Agreement This Agreement will automatically terminate when both Parties have performed all their obligations under the Agreement and all payments have been made. Should there be a desire to terminate the agreement before the completion of the project, the Client will notify the Agents @ work _10_ days in advance, and pay for services already completed and for hours already worked. 4-Limitation of Liability Neither party will be liable for breach-of-contract damages that are remote or speculative, or that the breaching party could not reasonably have foreseen on entry into this agreement. 5-Intellectual Property  The Client will own the website and any visuals provided by the Agents @ work. The Agents @ work will turn over all necessary files. The Client guarantees that they have legal rights to all elements of text, photographs, and anything else that they provide the Agents @ work Inc with, and will not hold the Agents @ work responsible for any third-party claims. The Agents @ work will guarantee that they have legal rights to all elements related to the services they are providing and will not hold the client responsible for any third-party claims. 6-Dispute Resolution If either party accuses the other of being in breach of contract, the accused party will have 30 days to address the breach. 7-Applicable Law This Agreement shall be governed by and construed in accordance with the laws of Canada.
